Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise agreed:

• Invoices are payable within 30 days of issue
• Late payments may incur interest charges
• Services may be suspended for overdue accounts
• All fees are exclusive of applicable taxes
• Refunds are subject to our refund policy as specified in service agreements

Intellectual Property

Termination

Either party may terminate a service agreement:

• Immediately for material breach that remains uncured after 14 days' notice
• Immediately if the other party becomes insolvent or ceases business operations

Upon termination, you remain liable for all fees incurred up to the termination date. We will provide reasonable assistance in transitioning services, subject to payment of outstanding fees.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, internet outages, or third-party service interruptions.

Governing Law

These Terms are governed by and construed in accordance with the laws of Scotland and the United Kingdom. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Scottish courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Changes to Terms
